The agreement between you and Veritech Supply LLC for using Orbita.
These Terms of Service ("Terms") govern your access to and use of Orbita, provided by Veritech Supply LLC (EIN 41-4817017). By using the Services or signing an order with us, you agree to these Terms. If you use the Services for an organization, you represent that you may bind that organization.
These Terms, together with any order form, the Privacy Policy, and any product-specific terms, form the entire agreement between you and Veritech Supply LLC.
Orbita provides a control surface for Starlink connectivity and Tesla Powerwall energy: a NOC dashboard, a tenant portal, provisioning, telemetry, alerting, billing, and APIs. We may update or improve features over time; we will not materially reduce core functionality of a paid plan during a paid term without notice.
You agree not to: break the law; infringe others' rights; probe, scan, or breach security; reverse engineer the Services except as permitted by law; resell access without authorization; or use the Services to harm the connectivity or energy systems of others. We may suspend access to protect the platform, customers, or third parties.
Orbita orchestrates hardware and services provided by third parties — including SpaceX (Starlink) and Tesla (Powerwall). Your use of that equipment is also governed by those providers' terms. We are not responsible for outages, coverage gaps, firmware behavior, or policy changes originating from those providers. Coverage and performance figures shown in the Services are estimates, not guarantees.
Eligible paid plans include a target service-level commitment (uptime and support response). The current targets, including a 99.9% uptime objective and SLA-backed response times, are described on the pricing page and any applicable SLA exhibit. Live operational status is published at status.onorbita.com.
Orbita, its software, design, and brand (including the Signal Sweep mark) are owned by Veritech Supply LLC. We grant you a limited, non-exclusive, non-transferable right to use the Services during your term. You retain all rights in your data.
You own the data you and your end-customers put into Orbita. You grant us the rights needed to operate the Services for you. We process personal data as described in the Privacy Policy and, for customers, any data-processing addendum.
We provide the Services with reasonable skill and care. Except as expressly stated, the Services are provided "as is" without other warranties, to the maximum extent permitted by law.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, or lost profits or data. Our total liability for any claim is limited to the fees you paid for the Services in the 12 months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law.
These Terms apply while you use the Services. Either party may terminate for material breach not cured within 30 days of notice. On termination, your right to use the Services ends; we will make your data available for export for a reasonable period, then delete it per our retention schedule.
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules. The state and federal courts located in Wyoming have exclusive jurisdiction, subject to any mandatory consumer protections in your country of residence.
